What Makes a Dental Practice Attractive to a DSO?

DSOs tend to prefer dental practices with durable EBITDA, manageable owner dependency, strong patient retention, productive hygiene, stable providers, growth capacity and a seller willing to support a smooth transition.

Revenue alone does not determine attractiveness.

Strong EBITDA

Buyers need sufficient earnings to support the acquisition. A practice with strong collections but poor profitability can be less attractive than a smaller practice with healthier margins.

Low provider dependency

A practice becomes riskier when the seller personally generates most of the revenue. Buyers prefer situations where associates already produce meaningful revenue, hygiene is strong, patients identify with the practice rather than only the owner, and the seller will stay long enough for transition.

Strong hygiene

Hygiene creates recurring patient contact and supports restorative diagnosis. Buyers generally value healthy recall, strong reappointment, sufficient hygiene capacity, stable hygienists and consistent perio diagnosis.

Growth

A buyer prefers purchasing momentum. Helpful signals include increasing collections, strong new-patient volume, growing hygiene, unused operatory capacity, associate capacity and specialty opportunities.

Stable staff

Turnover can materially disrupt integration. An experienced team creates continuity for patients and reduces immediate recruiting risk.

Reasonable payer profile

There is no perfect payer mix, but buyers want to understand PPO concentration, FFS percentage, reimbursement quality, Medicaid exposure and payer concentration.

Secure facility

A buyer may hesitate if the lease expires immediately after closing or if rent is materially above market. Facility stability matters.

Seller flexibility

A good practice can become difficult to transact when a seller insists on immediate departure, unrealistic valuation, refusal to provide financial information, restrictive buyer access or impossible employment conditions. Preparation and reasonable expectations increase optionality.
