What Do Dentists Care About When Choosing a DSO?
Dentists care about purchase price, but many sellers also place enormous weight on clinical autonomy, staff continuity, reputation, post-sale compensation, transition requirements and trust in the buyer.
The practice may represent 20 or 30 years of the seller's life. Treating the transaction as a purely financial negotiation can cost a DSO the deal.
Clinical autonomy
Many dentists want assurance that corporate ownership will not dictate treatment. Be specific about who controls diagnosis, labs, materials, treatment planning and referrals.
Staff
Sellers often feel personal responsibility for long-term employees. Explain benefits, payroll, retention, HR changes and staffing philosophy.
Reputation
Dentists may care deeply about the practice name and patient experience. Do not treat branding as a minor integration item.
Economic fairness
Sellers want to understand how value was calculated, why rollover is required, how compensation works and how earn-outs are measured. Transparency builds trust.
What DSOs should understand
The winning buyer frequently makes the dentist feel "they understand what I built," not merely "they offered the highest multiple."
